Terms of Service

01. Agreement & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual developer, organization, or enterprise entity, referred to as "Customer" or "you") and Elvio Labs Inc. ("Elvio Labs", "we", "us", or "our"), governing access to and use of our website located at https://elviolabs.com and related developer tools, APIs, software development kits, autonomous agent runtimes, and distributed cloud services (collectively, the "Platform").

By executing an Order Form, registering for an account, accessing any API endpoint, or deploying any workload via our platform, you signify your agreement to these Terms. If you do not agree to these Terms, you must immediately terminate use of the Services.

Elvio Labs provides high-performance, developer-centric cloud infrastructure designed for low-latency AI inference and autonomous multi-agent orchestration, including but not limited to:

03. Developer Accounts & API Key Security

To utilize our API endpoints, you must obtain valid cryptographic credentials ("API Keys"). You are strictly responsible for maintaining the confidentiality of your API keys and for all activity occurring under your credentials.

• You agree to implement industry-standard secret management practices and never commit secret API keys to public repositories.
• You must notify Elvio Labs security (security@elviolabs.com) within one hour of identifying any unauthorized exposure or compromise of your keys.
• Elvio Labs reserves the right to rotate or revoke API keys immediately upon detecting anomalous traffic or volumetric attacks.

04. Acceptable Use Policy (AUP)

You agree not to use the Services to generate, transmit, or orchestrate content or behaviors that violate applicable national or international laws. Prohibited actions include:

• Generating malware, ransomware, exploit payloads, or malicious automated hacking scripts.
• Engaging in denial-of-service (DoS) attempts against our 38 edge mesh nodes or infrastructure partners.
• Attempting to bypass our token rate-limiting algorithms, reverse-engineer model weights, or crack speculative decoding kernels.
• Processing high-risk autonomous workflows without human-in-the-loop oversight where required by local legislation.

05. Intellectual Property & 100% Customer Ownership

Customer Ownership of Inputs and Outputs: As between the parties, you retain sole and exclusive ownership of all proprietary data, code, prompts, instructions, and schemas submitted to the Platform ("Customer Inputs"), as well as all resulting generated text, code, embeddings, or inference outputs ("Customer Outputs").

Elvio Labs does NOT claim any intellectual property rights over your inputs or generated outputs. Furthermore, as stipulated in our Privacy Policy, we do not train foundation models on your proprietary data.

06. Billing, Plans, Credits & Subscriptions

Subscription Plans: Paid tiers (Growth, Scale, Enterprise) are billed on a recurring monthly or annual basis as specified on our Pricing Page.

Startup Credits & Cloud Programs: Promotional credits granted under accredited startup accelerator programs (e.g. AWS Activate, incubator partnerships, or investor grants) may be redeemed against qualifying API token consumption and mesh runner compute according to specific program grant guidelines. Credits hold no cash value and are non-transferable.

Overages & Metering: Token overages beyond base tier allowances are metered in micro-increments and invoiced at standard platform rates. You may set hard budgetary caps in the Cloud Console to prevent unexpected charges.

07. Service Level Agreement (SLA) & Uptime Guarantee

For Scale and Enterprise tier customers, Elvio Labs commits to a 99.999% Monthly Uptime Percentage across our global routing fabric:

08. Warranties, Disclaimers & Limitation of Liability

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELVIO LABS DISCLAIMS ALL WARRANTIES, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELVIO LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR USE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE PLATFORM.
